Third-Party Actions: We shall not be liable for any damages arising from the actions, omissions, or failures of third parties, including but not limited to vendors, contractors, government agencies, or service providers that we may recommend or that you may engage.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, civil unrest, or infrastructure failures.

Client Responsibilities

Clients engaging Wisory Global services acknowledge and agree to the following responsibilities:

Information Accuracy: Providing accurate, complete, and timely information necessary for us to deliver our services effectively
Independent Verification: Independently verifying critical information, especially for legal, regulatory, tax, and financial matters
Professional Counsel: Engaging appropriate legal, tax, accounting, and other professional advisors for specialized matters
Decision Authority: Making final business decisions and assuming responsibility for actions taken based on our recommendations
Confidentiality: Protecting any confidential information shared during the engagement

Intellectual Property

All methodologies, frameworks, templates, tools, analyses, and other materials developed by Wisory Global ("Wisory IP") remain our exclusive intellectual property. Clients receive a limited, non-exclusive license to use deliverables for their internal business purposes as specified in the applicable engagement agreement.

Clients may not reproduce, distribute, sell, license, or create derivative works from Wisory IP without our prior written consent.

Confidentiality

Wisory Global maintains strict confidentiality regarding client information, business strategies, and project details. We implement appropriate technical and organizational measures to protect confidential information from unauthorized access, disclosure, or use.

Our confidentiality obligations are further detailed in individual engagement agreements with clients. We do not disclose client identities or project details without explicit consent, except as required by law.

Conflicts of Interest

Wisory Global is committed to maintaining the highest standards of professional integrity. We have policies and procedures in place to identify, disclose, and manage potential conflicts of interest that may arise in the course of our engagements.

If a potential conflict is identified, we will promptly disclose it to affected clients and work collaboratively to find an appropriate resolution, which may include implementing information barriers, obtaining consent, or declining the engagement.

Regulatory Compliance

Wisory Global is committed to conducting business in compliance with all applicable laws and regulations in the jurisdictions where we operate. This includes but is not limited to:

Anti-corruption and anti-bribery laws (including the Prevention of Corruption Act in India)
Data protection and privacy regulations (GDPR, DPDP Act)

Insurance

Wisory Global maintains professional liability (errors and omissions) insurance coverage to protect both our clients and our firm. Details regarding coverage limits and terms are available upon request.

Dispute Resolution

Any disputes arising from or related to our services shall be resolved in accordance with the dispute resolution provisions set forth in the applicable engagement agreement. In the absence of specific provisions, disputes shall be:

First submitted to good-faith negotiation between senior representatives of both parties
If unresolved within thirty (30) days, submitted to mediation under the rules of a mutually agreed mediation institution
If still unresolved, submitted to binding arbitration in Hyderabad, India, under the Arbitration and Conciliation Act, 1996
